Scooby Capital LLC – Terms of Service

I. Nature of Services

Scooby Capital LLC (“Company”) provides financial, administrative, and operational support services. The Company operates as a limited liability company (LLC) within the public domain and engages in lawful commercial activities.

II. Relationship to Ladybug Academy PMA

Scooby Capital LLC is privately supported and operationally assisted by Ladybug Academy, a Private Membership Association (PMA).

Ladybug Academy operates exclusively within the private domain under private contract and freedom of association principles.
Nothing within these Terms shall be interpreted as placing Ladybug Academy, its Members, or its internal operations into the public domain.

All services provided by Scooby Capital LLC remain separate and distinct from the private membership activities of Ladybug Academy.

III. Relationship to Scooby Foundation (501(c)(3)) and Donations

Scooby Capital LLC may provide administrative, operational, or support services to charitable initiatives, including the Scooby Foundation, a separate nonprofit organization recognized as a 501(c)(3) and established to support students, educators, schools, and educational programs through scholarships and related assistance.

The Scooby Foundation operates as a separate legal entity and functions within the public charitable domain in accordance with applicable nonprofit laws and regulations. Donations made to the Scooby Foundation are considered public charitable contributions and are administered solely by the Foundation in furtherance of its exempt purposes.

Separately, Ladybug Academy PMA, as a Private Membership Association, operates exclusively within the private domain and may facilitate private contributions among its consenting Members only. These private contributions:

Occur strictly within the private domain

Are governed by private membership agreements

Are not public charitable donations

Remain internal to the Association and its private activities

Scooby Capital LLC may, where appropriate and with proper authorization, provide administrative or operational support services related to either structure; however:

Private contributions within Ladybug Academy PMA remain entirely within the private domain

Public donations to the Scooby Foundation remain within the public charitable domain

These systems are separate, distinct, and governed by different legal frameworks

No information collected by Scooby Capital LLC is sold or shared for fundraising purposes outside of the specific system (private or public) in which the individual has voluntarily chosen to participate.

IV. Acceptance of Terms

By using this website, submitting forms, or engaging with Scooby Capital LLC, you agree to these Terms of Service.

You acknowledge that your interaction is with Scooby Capital LLC as a public-facing entity, and not with Ladybug Academy in its private capacity.

V. Use of Services

You agree to:
